These Terms and Conditions (“Terms”) govern your access to and use of the website buildsense.in and the PropOS platform, including its WhatsApp-based AI agents (Ridhi, Sidhi, Riya, Aryan, Kuber, and Dev) and related services (collectively, the “Services”), provided by NM BuildsenseAI Pvt Ltd, a company incorporated under the Companies Act, 2013, with its registered office at Hilton Works, Ground Floor, 18 Sector 28, DLF Phase 1, Golf Course Road, Gurugram, Haryana — 122002 (“NM BuildSense AI”, “we”, “us”, or “our”).

By accessing our website, signing up for PropOS, or otherwise using our Services, you agree to be bound by these Terms. NM BuildSenseAI will not use Customer Data, personal data, confidential information, project documents, sales records, buyer information, or communications to train general-purpose AI models accessible by other customers. Any use of Customer Data for product improvement shall be limited to anonymised and aggregated analytics that cannot identify Customer, its personnel, channel partners, buyers, or projects.

If you do not agree to these Terms, please do not access or use our Services.

PropOS is an AI-powered operating system designed for Indian real estate developers, providing WhatsApp-native AI agents intended to assist with channel partner (broker) communication, sales intelligence, RERA compliance tracking, collections follow-up, procurement coordination, and budget tracking. The Services are offered on a subscription (SaaS) basis to real estate developer businesses.

• Our flagship agent, Ridhi, is designed to communicate with channel partners via WhatsApp in Hinglish, responding to availability, pricing, and site-visit related queries on behalf of the Customer.
• Additional agents (Sidhi, Riya, Aryan, Kuber, Dev) are being developed and released on a phased basis as per our product roadmap.
• We reserve the right to modify, suspend, or discontinue any part of the Services, including individual AI agents or features, with reasonable notice where practicable.

• Be a legally registered business entity (or an authorised representative of one) engaged in real estate development or a related business.
• Be at least 18 years of age and have the legal capacity to enter into a binding contract.
• Provide accurate, current, and complete information during registration and onboarding, and keep such information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorised use of your account.

• Access to PropOS is provided on a subscription basis with fees set out in the applicable order form, proposal, or agreement.
• Subscription fees are billed in advance on a monthly or annual basis (as agreed) and are non-refundable except as expressly stated.
• A one-time onboarding or setup fee may apply, as communicated at sign-up, unless waived under a design partner or promotional arrangement.
• Pricing may be revised with reasonable advance notice (generally not less than 30 days) for existing Customers, except where a fixed-term contract specifies otherwise.
• Late or failed payments may result in suspension of access until outstanding amounts are settled, subject to any grace period.

• Accuracy and legality of all data you input into PropOS, including unit inventory, pricing, RERA project details, and contact information.
• Obtaining necessary consents from channel partners, buyers, and other individuals whose personal data is processed through your use of PropOS, in accordance with the DPDPA, 2023.
• Ensuring use of PropOS, including any WhatsApp-based communication sent through our AI agents, complies with applicable law (consumer protection, RERA, telecom/messaging regulations).
• Maintaining confidentiality of login credentials, API keys or account access provided to your personnel.

As between you and us, you remain the Data Fiduciary in respect of personal data relating to your channel partners, buyers, and staff processed through PropOS, and NM BuildsenseAI acts as your Data Processor, as further described in our Privacy Policy and any applicable DPA. Neither party shall be liable for delays or failures resulting from causes beyond its reasonable control.

PropOS uses artificial intelligence, including large language models provided by third parties, to generate responses to messages and queries. AI-generated outputs may occasionally be inaccurate, incomplete, or inconsistent with your actual property, pricing, or compliance data.

• AI agents operate based on data and instructions provided by you and may, in rare instances, produce responses that are inaccurate due to system error, data lag, ambiguous input, or limitations inherent to AI/LLM technology.
• You are responsible for reviewing and verifying critical information (such as final pricing, unit availability and contractual terms) before relying on it for binding transactions.
• NM BuildsenseAI shall not be liable for losses arising from reliance on AI-generated content without independent verification, except where such loss arises from our gross negligence or wilful default.

• Do not violate any applicable law, regulation, or third-party right.
• Do not transmit unlawful, harassing, defamatory, fraudulent, or misleading content through PropOS messaging agents.
• Do not attempt to reverse-engineer, decompile, or otherwise access the underlying source code, models, or architecture of PropOS, except as permitted by law.
• Do not send unsolicited bulk messages in violation of WhatsApp's Business Policy or anti-spam regulations.
• Do not interfere with or disrupt the integrity or performance of the Services, including through unauthorised access attempts or malicious code.

All right, title, and interest in and to the PropOS platform, including its software, AI models, trademarks (including “PropOS” and the names of individual AI agents), designs, and documentation, remain the exclusive property of NM BuildsenseAI Pvt Ltd and its licensors.

You retain all rights to your own business data (unit inventory, pricing, customer information) that you input into PropOS. You grant NM BuildsenseAI a limited licence to use such data solely to provide and improve the Services, as described in our Privacy Policy. Customer retains all rights, title, and interest in and to Customer Data.

Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other party in connection with the Services, and to use such information solely for the purposes of fulfilling its obligations under these Terms, except where disclosure is required by law or with prior written consent.

• These Terms remain in effect for as long as you maintain an active subscription to PropOS.
• We may suspend or terminate access if you breach these Terms, fail to make payment when due, or engage in conduct that poses a security or legal risk.
• You may terminate your subscription in accordance with the notice period and terms specified in your order form or agreement.
• Upon termination, your right to access the Services will cease, and we will handle your data per our Privacy Policy, subject to legal retention obligations.

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, NM BuildsenseAI disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

As an early-stage company, we are continuously developing and improving PropOS. Certain features in our roadmap may be under active development; we will indicate availability status at the time of subscription.

To the maximum extent permitted by applicable law, NM BuildSense AI's total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim. In no event shall NM BuildsenseAI be liable for any indirect, incidental, special, consequential, or punitive damages.

Nothing in these Terms shall limit or exclude liability that cannot be limited or excluded under applicable Indian law, including liability arising from gross negligence, wilful misconduct, or fraud.

You agree to indemnify and hold harmless NM BuildSense AI, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of (a) your breach of these Terms; (b) your violation of applicable law in connection with your use of the Services; or (c) your failure to obtain necessary consents from individuals whose personal data is processed through your use of PropOS.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute shall first be addressed through good-faith negotiation. If unresolved within 30 days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated in Gurugram, Haryana, with proceedings conducted in English. Subject to the foregoing, the courts at Gurugram, Haryana shall have exclusive jurisdiction.

We may revise these Terms from time to time to reflect changes in our Services, business practices, or legal requirements. We will post the updated Terms on this page with a revised “Effective Date,” and for material changes will provide reasonable advance notice. Your continued use of the Services after such changes take effect constitutes acceptance of the revised Terms.

Where applicable, the parties may execute a separate Data Processing Agreement (“DPA”), which shall govern the processing of personal data and prevail over these Terms in the event of conflict. If you have any questions about these Terms, please contact us:
